1. Introduction
These Terms and Conditions ("Terms") govern your use of the Qwiva pharmacy management platform, website, and related services (collectively, the "Service") operated by Qwiva Technologies Ltd ("Qwiva", "we", "us", or "our"), a company registered in Nigeria.
By creating an account or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and Cookie Policy, which are incorporated herein by reference.
2. Definitions
For the purposes of these Terms:
- "Account" means the unique account you create to access the Service.
- "Customer Data" means all data, records, and information you input into or generate through the Service.
- "Subscription" means your paid plan granting access to the Service for a specified period.
- "User" means any individual authorised by you to access the Service under your Account.
- "Intellectual Property" means all patents, trademarks, trade names, copyrights, trade secrets, and other proprietary rights.
3. User Accounts
To access the Service, you must create an Account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
You are responsible for maintaining the confidentiality of your account credentials. You are liable for all activities that occur under your Account. You must notify us immediately at support@qwiva.io if you suspect any unauthorised use of your Account.
You may not share your login credentials with others outside of your authorised team. Each User must have their own login credentials. Qwiva reserves the right to disable any Account that violates these Terms.
4. Use of the Service
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service in any way that violates any applicable Nigerian or international law or regulation.
- Transmit any unsolicited or unauthorised advertising or promotional material.
- Attempt to gain unauthorised access to any part of the Service, or any system or network connected to it.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Use automated tools (bots, scrapers) to extract data from the Service without our written permission.
- Interfere with or disrupt the integrity or performance of the Service.
- Upload content that is illegal, harmful, defamatory, or infringes any third-party rights.
Qwiva reserves the right to investigate and take appropriate legal action against anyone who violates these provisions.
5. Customer Data and Responsibilities
You retain full ownership of all Customer Data you submit to the Service. By using the Service, you grant Qwiva a limited, non-exclusive licence to process your Customer Data solely to provide the Service to you.
You are solely responsible for the accuracy, quality, and legality of your Customer Data. You warrant that you have obtained all necessary consents to process any personal data of your customers in accordance with the Nigeria Data Protection Act (NDPA) and other applicable laws.
Qwiva will not access, use, or disclose your Customer Data except as required to provide the Service, comply with legal obligations, or as you expressly authorise.
6. Fees, Payment, and Subscription
Access to certain features of the Service requires a paid Subscription. Fees are set out in our pricing page and may be updated from time to time with 30 days' notice.
All fees are denominated in Nigerian Naira (₦) unless otherwise stated and are exclusive of applicable taxes. Payment is due on the billing date for each subscription period (monthly or annual). Failure to pay may result in suspension of your Account.
Annual subscriptions are non-refundable except where required by applicable law. Monthly subscriptions may be cancelled at any time, effective at the end of the current billing period — you will not be charged for the following period.
We reserve the right to modify our pricing. We will give you at least 30 days' notice of any price increase before it takes effect.
7. Intellectual Property
The Service and its original content (excluding Customer Data), features, and functionality are and will remain the exclusive property of Qwiva Technologies Ltd and its licensors. Our trademarks, trade name "Qwiva", and logo may not be used without our prior written consent.
Nothing in these Terms transfers any Intellectual Property rights to you. You are granted only a limited, non-exclusive, non-transferable, revocable licence to use the Service during your Subscription period, solely for your internal pharmacy operations.
8. Third-Party Links and Integrations
The Service may contain links to third-party websites or integrate with third-party services (e.g., payment processors, accounting software). These are provided for convenience only. Qwiva has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party sites or services.
Your use of third-party services is governed by their respective terms and privacy policies. We encourage you to review those carefully.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Qwiva does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. The Service is not a substitute for professional medical, pharmaceutical, or legal advice.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QWIVA, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the total fees paid by you to Qwiva in the twelve (12) months immediately preceding the event giving rise to the claim.
11. Indemnification
You agree to defend, indemnify, and hold harmless Qwiva Technologies Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
- Your access to or use of the Service.
- Your violation of these Terms.
- Your violation of any third-party rights, including Intellectual Property rights or privacy rights.
- Any Customer Data you submit to the Service.
12. Termination
Either party may terminate these Terms at any time. You may terminate by closing your Account. Qwiva may terminate or suspend your access to the Service immediately, without prior notice or liability, if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. Sections 7 (Intellectual Property), 9 (Disclaimer), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law) shall survive any termination of these Terms.
Following termination, we will retain your Customer Data for 90 days, during which you may request an export. After this period, your data will be permanently deleted from our systems.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes by email or by posting a notice within the Service. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.
It is your responsibility to review these Terms periodically. If you do not agree to the revised Terms, you must stop using the Service before the effective date.
